Terms of Service

1. Agreement to Terms

By accessing or using the WIP Platform ("Service"), operated by WIP Platform ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including individual users and organizations ("Subscribers").

2. Description of Service

WIP Platform is a cloud-based workforce intelligence platform providing credential management, qualification matching, compliance tracking, personnel database management, assignment tracking, and financial intelligence tools for maritime, offshore energy, construction, and industrial services organizations. The Service is provided on a subscription basis as described in our pricing plans.

3. User Accounts and Obligations

When you create an account, you must provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that all personnel data entered complies with applicable laws and regulations
  • Obtaining proper consent from individuals whose data is stored in the platform
  • Notifying us immediately of any unauthorized use of your account

4. Subscription and Payment Terms

Access to the Service requires a paid subscription. By selecting a plan, you agree to the following:

  • Subscription fees are billed monthly or annually in advance
  • All fees are non-refundable except as required by applicable law
  • We may change pricing with 30 days' advance notice to active subscribers
  • Payment is processed securely through Stripe; we do not store your payment card details
  • Failure to pay may result in suspension or termination of your account
  • Usage exceeding your plan limits may require an upgrade to a higher tier

5. Data Handling and Security

We take data security seriously. Your data is:

  • Stored securely on Amazon Web Services (AWS) infrastructure
  • Encrypted in transit (TLS) and at rest (AES-256)
  • Isolated per tenant to prevent unauthorized cross-account access
  • Subject to our Privacy Policy, which describes how we collect, use, and protect your information
  • Your property; you retain all rights to the data you upload to the platform

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Resell or redistribute access to the Service without an authorized reseller agreement

7. Termination

Either party may terminate the subscription at any time. Upon termination: (a) your access to the Service will cease at the end of your current billing period; (b) you may export your data for up to 30 days following termination; (c) after 30 days, your data will be permanently deleted from our systems. We reserve the right to suspend or terminate accounts that violate these Terms immediately and without notice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIP PLATFORM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY BUGS, VIRUSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WIP PLATFORM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify subscribers of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
